Terms & Conditions for a Hotel Representative

Thank you for registering with MPbid (MPBID.COM). MPbid was designed to simplify and accelerate the site-selection process for meeting planners (including Third Party Consultants) and hotels. A modified exchange process is the environment utilized. To allow for efficiencies, MPbid has created two (2) different exchange sites. "The Meeting Exchange" allows a planner to offer meetings and hotels to bid on those meetings. "The Hotel Rooms Exchange" allows a hotel representative to offer hotel rooms and planners to email their interest directly to the hotel. (For more information on the Exchange sites, please See "How Exchanges Work").

Below we have outlined the Terms and Conditions applicable to a hotel's use of MPbid.  Your Registration will signify the hotel's acceptance of these Terms and Conditions, which may be changed from time to time.

Registration for a Hotel Representative - This is for an individual who is employed by a hotel who has the authority to enter into and negotiate contractual agreements on behalf of the hotel. In order to guarantee that there are no duplicate transactions in MPbid, only one individual per hotel property is allowed to be a registered representative. MPbid reserves the right to cancel a user's membership for violation of these Terms and Conditions.

Hotel Commissions - Your registration and use of MPbid is free including the ability to post specials and bid on meetings Offered on "The Meeting Exchange." The hotel agrees to pay a commission on all contracted business if it contracts for any of the meetings disclosed through MPbid, regardless of whether the meeting is or could have been booked without the use of MPbid. The hotel is responsible for paying MPbid a commission equal to ten percent (10%) of room revenue. The room rate you utilize when transacting within MPbid is a gross rate, and will always include the 10% commission. No other services are commissionable (i.e., Food and Beverage, A/V, Transportation etc.). The commission is due within 60 days of the last day of the contracted meeting. (Note: If your facility is a Conference Center that offers a packaged plan which includes rooms, food, A/V and other services, the commission equals 5% of the packaged revenue).

As part of the registration process with MPbid, meeting planners may have selected a third party consultant to assist them in their site selection process. If so, they are registered with MPbid, and MPbid will pay the third party consultant a share of the commission in accordance with the Terms & Conditions for a Third Party Consultant.

Agent of Record. By utilizing MPbid, the hotel is authorizing MPbid to act as a site selection agent for these transactions. If the hotel contracts for any of the meetings disclosed through MPbid, the hotel agrees to register MPbid as the only agent of record for the contracted meeting, regardless of whether the meeting is or could have been booked without the use of MPbid.

Venue - MPbid acts as a venue for hotels and planners to offer and bid on hotel rooms in the meeting industry.  Although we review and approve all users of MPbid, we cannot guarantee the authenticity of other registered users.  We cannot ensure that a bid or offer will result in a transaction.

Release and Indemnification - Because MPbid is not involved in the resulting contract between the parties, it does not guarantee and makes no representations or warranties of any kind, express or implied, as to the quality of the services that the hotel provides nor the ability of the planner (or third party) to make payment for services. In the event of any dispute that may arise between the parties, you and the hotel release MPbid (and its officers, employees, directors and agents) from any and all claims, demands or damages related to such dispute. The hotel agrees to indemnify, defend and hold MPbid harmless from and against any and all claims, damages, costs, and expenses, including attorneys fees, arising from or related to its use of MPbid.

General
These Terms and Conditions represent the complete agreement between the hotel and MPbid and supersede all prior agreements and representations. The failure of MPbid to act with respect to a breach of these Terms and Conditions does not constitute a waiver and shall not limit MPbid's rights with respect to such breach or any subsequent breaches. Any action or proceeding arising out of or related to these Terms and Conditions or the use of MPbid shall be governed by Florida law and shall be brought in the courts of Broward County, Florida. In the event a dispute or controversy arises between your organization and MPbid related to these Terms and Conditions or the use of MPbid, and any legal or equitable action is instituted, the prevailing party shall recover its attorney's fees and costs from the non-prevailing party.
